Terms and Conditions of Sale (T&Cs)

1. Company Information

FRANK THE CYBERGUARD provides professional cybersecurity-related services, including but not limited to:

  • Incident response consulting

The exact scope of services shall be defined in a separate proposal, quotation, statement of work, or agreement accepted by the client.

3. Quotes and Pricing

All prices are quoted in U.S. Dollars (USD) unless otherwise stated.

Quotes provided by FRANK THE CYBERGUARD are valid for thirty (30) days from the date of issuance unless otherwise specified.

FRANK THE CYBERGUARD reserves the right to modify pricing at any time prior to acceptance by the client.

4. Payment Terms

Invoices are payable according to the terms specified on the invoice or contractual agreement.

Unless otherwise agreed in writing:

  • Payments are due within thirty (30) days of the invoice date

  • Late payments may incur interest charges permitted under applicable Florida law

  • Services may be suspended in the event of non-payment

The client is responsible for any applicable bank fees, wire transfer fees, or international transaction costs.

5. Client Responsibilities

The client agrees to:

  • Provide accurate and complete information necessary for the performance of services

  • Cooperate in a timely manner during the engagement

  • Maintain appropriate internal security measures and backups

  • Ensure authorized access to systems and infrastructure when required

FRANK THE CYBERGUARD shall not be held responsible for delays or failures caused by incomplete information or lack of cooperation from the client.

6. Confidentiality

Both parties agree to keep confidential all non-public, proprietary, or sensitive information disclosed during the course of the business relationship.

Confidential information shall not be disclosed to third parties without prior written consent, except where required by law.

7. Limitation of Liability

FRANK THE CYBERGUARD provides advisory and consulting services only and does not guarantee the prevention of all cyber threats, attacks, vulnerabilities, or security incidents.

To the fullest extent permitted by law, FRANK THE CYBERGUARD shall not be liable for:

  • Indirect or consequential damages

  • Loss of profits, revenue, or business opportunities

  • Data loss or business interruption

  • Third-party cyberattacks or unauthorized access

The total liability of FRANK THE CYBERGUARD for any claim related to the services shall not exceed the total amount paid by the client for the specific services giving rise to the claim.

8. Intellectual Property

All methodologies, reports, deliverables, analyses, recommendations, tools, and materials created by FRANK THE CYBERGUARD remain its intellectual property unless otherwise agreed in writing.

The client receives a non-exclusive, non-transferable right to use deliverables solely for internal business purposes.

9. Termination

Either party may terminate a service agreement in writing if the other party materially breaches its obligations and fails to remedy such breach within a reasonable period.

Any services performed prior to termination remain payable by the client.

10. Force Majeure

FRANK THE CYBERGUARD shall not be held liable for delays or failure to perform caused by events beyond reasonable control, including but not limited to natural disasters, internet outages, cyber incidents, governmental actions, labor disputes, or force majeure events.

11. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of Florida, United States.

Any dispute arising from these Terms shall fall under the exclusive jurisdiction of the courts located in Miami, Florida.
